These terms and conditions between you and Coir Inc., a Delaware corporation (“Coir”), govern our provision of and your use of our services including coir.dev, any content provided by Coir including any information or analysis provided via email, audio or other format and any information shared with Coir (the “Offering”).
By using the Offering, you accept these terms and conditions in full and agree that such agreement constitutes a binding contract between you and Coir.
“You” means you in your individual capacity and, if applicable, the company or organization on whose behalf you open an account and represent. If you are entering into these Terms of Service on behalf of a company or other organization, you hereby represent and warrant that you are authorized to enter into these Terms of Service on behalf of such company or other organization.
Please carefully read these Terms of Services and our Privacy Policy which is incorporated into these Terms of Service by reference. If you disagree with any part of these terms and conditions, you must not use the Offering.
COIR IS HEADQUARTERED IN THE UNITED STATES. IF YOU ARE LOCATED IN THE EUROPEAN ECONOMIC AREA, SWITZERLAND, OR UNITED KINGDOM, YOU CONSENT TO THE TRANSFER OF YOUR PERSONAL DATA TO THE UNITED STATES.
Coir operates coir.dev and its Offering.
Coir offers you access to coir.dev in exchange for your agreement to accept and comply with the terms, conditions, and notices stated herein and as may be modified by Coir from time to time. Coir refers to these terms, conditions and notices, whether modified or unmodified, as the "Terms of Service" or “terms and conditions.” Except as may be provided in your Service Order, the Company reserves the right, at its sole discretion, to modify these terms and conditions and/or coir.dev without providing notification, but will post a notice on coir.dev of any material change. You are responsible for regularly reviewing these terms and conditions. Your use of coir.dev following any posted change(s) to the terms and conditions will be deemed an acceptance of such change(s).
These terms and conditions apply to all visitors, users, and others who access the Offering (“Users”). You may use the Offering only if you can form a binding contract with Coir, and only in compliance with these terms and conditions and all applicable local, state, national, and international laws, rules and regulations.
Any use or access to the Offering by anyone under 18 is strictly prohibited and in violation of this Agreement. The Offering is not available to any Users previously removed by or on behalf of Coir.
Unless otherwise stated, Coir owns the intellectual property rights in the Offering and material in the Offering. Subject to the limited license below, all these intellectual property rights are reserved.
You may view, download, and print pages from the Offering for your own use, subject to the restrictions set out below and elsewhere in these terms and conditions.
Our offering is designed for and meant to be used by you to inform your understanding of the topics we cover and inform you and your company’s strategy, however you must not:
Unless otherwise agreed in your Service Order, a subscription is for one person only and sharing accounts with multiple people, including people at the same company is strictly forbidden and will result in losing the account without refund. We may maintain different types of accounts for different types of Users. If you open a Coir account on behalf of a company or other entity or entities, then (a) “you” includes you and that entity or entities.
Coir reserves the right to terminate any or all of these exceptions at any time globally or on an individual user basis.
Violation of any of these restrictions (or any other of the Terms of Service) may result in immediate account termination without warning and without refund. Moreover, any violation of these restrictions may further subject you to liability for violation of Coir’s intellectual property rights and further claims and damages.
In order for you to participate in certain portions of the Offering through coir.dev, you are required to register and provide specific information about yourself. If you choose to register and to participate in those portions of the Offering, you agree to provide true, accurate and complete information and to refrain from impersonating or falsely representing your affiliation with any person or entity. Coir is committed to maintaining the privacy and security of any and all such information that you provide to Coir through coir.dev. To that end, Coir urges you to review the Privacy Policy, which may be accessed by clicking here. The Privacy Policy is incorporated by reference into these terms and conditions.
When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account. You must notify Coir immediately of any breach of security or unauthorized use of your account. Coir may disable your user ID and password in Coir’s sole discretion without notice or explanation.
You may control your user profile and how you interact with the Offering by changing the settings in your settings page. By providing Coir your email address you agree to our using the email address to send you Offering-related notices, including any notices required by law, in lieu of communication by postal mail. We may also use your email address to send you other messages, such as changes to features of the Offering and special offers. If you do not want to receive such email messages, you may opt out or change your preferences in your settings page. This may prevent you from receiving email messages regarding updates, improvements, or offers.
Access to certain areas of coir.dev is restricted. Coir reserves the right to restrict access to other areas of coir.dev, or the entirety of coir.dev, at Coir’s discretion.
If Coir provides you with an RSS feed that includes restricted content, you may not share that feed or use it in any application other than an RSS feed reader. Coir may disable your RSS access at any time at its sole discretion without notice or explanation.
You must not use the Offering in any way that causes, or may cause, damage to the Offering, or impairment of the availability or accessibility of the Offering; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.
You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to the Offering.
You must not use the Offering for any purposes related to marketing without Coir’s express written consent.
Coir is a Delaware corporation, and is headquartered in Beacon, New York. Although the website is accessible worldwide, not all features, products or the full Offering discussed, referenced, provided, or offered through or on the website are available to all persons or in all geographic locations, or appropriate or available for use outside the United States. If you choose to access the website from outside the United States, you do so on your own initiative and you are responsible for complying with applicable local laws.
In these terms and conditions, “your user content” means material (including without limitation text, images, audio material, video material and audio-visual material) that you share for whatever purpose.
You grant to Coir a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute your user content in any existing or future media. You also grant to Coir the right to sub-license these rights, and the right to bring an action for infringement of these rights.
Your user content must not be illegal or unlawful, must not infringe any third party’s legal rights, and must not be capable of giving rise to legal action whether against you or Coir or a third party (in each case under any applicable law).
You must not submit any user content that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.
Coir reserves the right to edit or remove any material submitted to it, that is stored on Coir’s servers, or is hosted or published upon this website.
Notwithstanding Coir’s rights under these terms and conditions in relation to user content, Coir does not undertake to monitor the submission of such content to, or the publication of such content on, the website.
By providing any user content, you expressly grant, and you represent and warrant that you have all rights necessary to grant, to Coir a royalty-free, sub-licensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of all such user content and your name, voice, and/or likeness as contained in your user content, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for use in connection with the Offering and any other product now existing or later developed by Coir (and its successors’, affiliates’) including without limitation for promoting and redistributing part or all of the Offering (and derivative works thereof) in any media formats and through any media channels.
NOTHING IN THE OFFERING, IS MEANT TO CONSTITUTE, FINANCIAL OR LEGAL ADVICE OF ANY KIND. IF YOU REQUIRE ADVICE IN RELATION TO ANY FINANCIAL OR LEGAL MATTER YOU SHOULD CONSULT AN APPROPRIATE PROFESSIONAL. YOU ARE AWARE OF AND AGREE THAT COIR SHALL NOT BE RESPONSIBLE FOR ANY LOSS THAT YOU SUFFER AS A RESULT OF ANY FINANCIAL TRANSACTION OR LEGAL DECISION, REGARDLESS OF WHETHER OR NOT YOU ENTER SUCH TRANSACTION OR DECISION BASED IN ANY WAY UPON ANYTHING YOU LEARN FROM THE OFFERING.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. IN NO EVENT SHALL COIR, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, CONTRACT PARTNERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO COIR HEREUNDER.
THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF LIMITED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS AGREEMENT GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
Nothing in this disclaimer will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit.
By using the Offering, you agree that the exclusions and limitations of liability set out in this website disclaimer are reasonable.
If you do not think they are reasonable, you must not use this website or the Offering.
You accept that, as a corporate entity, Coir has an interest in limiting the personal liability of its officers and employees. You agree that you will not bring any claim personally against Coir’s members, managers, officers, Contract Partners, or employees in respect of any losses you suffer in connection with the Offering.
Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in this disclaimer will protect Coir’s members, managers, officers, employees, agents, subsidiaries, successors, Contract Partners, assigns and sub-contractors as well as Coir.
If any provision of these terms and conditions or disclaimer is, or is found to be, unenforceable under applicable law, that will not affect the enforceability of the other provisions of these terms and conditions or disclaimer.
You hereby indemnify Coir along with its members, managers, officers, employees, agents, subsidiaries, successors, Contract Partners, assigns and sub-contractors (“Indemnified Parties”) and undertake to indemnify and hold harmless the Indemnified Parties against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by the Indemnified Parties to a third party in settlement of a claim or dispute on the advice of the Indemnified Parties’ legal advisers) incurred or suffered by the Indemnified Parties arising out of any breach by you of any provision of these terms and conditions, or arising out of any claim that you have breached any provision of these terms and conditions.
Without prejudice to Coir’s other rights under these terms and conditions, if you breach these terms and conditions in any way, Coir may take such action as Coir deems appropriate to deal with the breach, including suspending your access to the Offering, prohibiting you from accessing the Offering, blocking computers using your IP address from accessing the Offering, contacting your internet service provider to request that they block your access to the Offering and bringing legal proceedings against you.
We care about the privacy of our Users. You understand that by using the Offering you agree to the collection, use and disclosure of your personal information and aggregate data as set forth in our Privacy Policy, and to have your personal information collected, used, transferred to and processed in the United States.
All information that you provide in connection with a purchase or transaction or other monetary transaction interaction with the Offering must be accurate, complete, and current. You agree to pay all charges incurred. You will pay any applicable taxes, if any, relating to any such purchases, transactions or other monetary transaction interactions. There are no refunds.
We may, without prior notice, change the Offering at any time including stop providing the Offering or features of the Offering, to you or to Users generally; or create usage limits for the Offering. We may permanently or temporarily terminate or suspend your access to the Offering without notice and liability (other than refund as specified below) for any reason, including if in our sole determination you violate any provision of these terms and conditions, or for no reason. Upon termination for any reason or no reason, you continue to be bound by these terms and conditions.
In the event we do not provide the Offering as described in your Order Form or the Offering for which you have already paid ceases production, you will be refunded on a pro rata basis.
This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Coir without restriction. Any attempted transfer or assignment in violation shall be null and void.
If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.
The Offering may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by Coir. Coir does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third party website from the Offering, you do so at your own risk, and you understand that this Agreement and Coir’s Privacy Policy do not apply to your use of such sites. You expressly relieve Coir from any and all liability arising from your use of any third-party website, service, or content.
These terms and conditions constitute the entire agreement between you and Coir in relation to your use of the Offering, and supersede all previous agreements in respect of your use of the Offering.
These terms and conditions will be governed by and construed in accordance with the laws of New York, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of New York.
